Terms & Conditions of Service

AutoProIT.com & SurreyTechnical.com (Collectively referred to as “the Company”)

1. Definitions

“Client” means any individual, business, organisation, or entity purchasing or using services from the Company.
“Services” means Managed IT Services, Ad‑hoc Support, Onsite Support, Consultancy, Cybersecurity Services, Automation, AI Services, and any other services provided by the Company.
“Agreement” means these Terms & Conditions together with any Service Order, Proposal, Statement of Work (SOW), or Managed Service Agreement (MSA).
“Managed Services” means ongoing IT support, monitoring, maintenance, and management delivered under a recurring contract.
“Ad‑hoc Support” means support delivered on a one‑off or pay‑as‑you‑go basis without a recurring contract.
“Onsite Support” means support delivered at the Client’s premises.
“Cyber Essentials” refers to the UK Government-backed cybersecurity standard.
“ISO 27001” refers to the international standard for Information Security Management Systems (ISMS).

2. Acceptance of Terms

By using the Company’s services or website, the Client agrees to be bound by these Terms & Conditions. If the Client does not agree, they must not use the Services.

3. Scope of Services
3.1 Managed IT Services

Managed Services are delivered according to a written Managed Service Agreement or Statement of Work. They may include:

Microsoft 365 management
Endpoint management
Monitoring and alerting
Patch management
Backup and recovery
Cybersecurity controls
Helpdesk support
Automation and AI workflow management

The Company will use reasonable skill and care and follow industry best practices aligned with Cyber Essentials and ISO 27001 principles where applicable.

3.2 Ad‑hoc Support

Ad‑hoc Support is provided without guaranteed response times, SLAs, or ongoing obligations. Charges apply per hour or per incident. The Company may decline Ad‑hoc Support if the request poses a security risk or is outside scope.

3.3 Onsite Support

Onsite visits may incur:

Travel charges
Minimum onsite time
Additional fees for emergency or out‑of‑hours work

The Client must ensure safe working conditions and appropriate access.

4. Security & Compliance
4.1 Cyber Essentials Alignment

The Company will implement and recommend controls consistent with Cyber Essentials, including:

Secure configuration
Access control
Malware protection
Patch management
Firewalls and network security

However, certification is not guaranteed, and the Client remains responsible for maintaining compliance.

4.2 ISO 27001 Alignment

The Company follows ISO 27001‑aligned practices including:

Risk‑based decision making
Secure handling of information
Change management
Incident management
Supplier management

The Company does not act as the Client’s ISMS unless explicitly contracted.

4.3 Client Responsibilities

The Client must:

Maintain secure passwords
Follow security recommendations
Ensure staff comply with policies
Notify the Company of incidents immediately
Provide accurate information required for service delivery

Failure to follow security guidance may limit the Company’s liability.

5. Service Levels
5.1 Managed Services

Response and resolution times are defined in the Managed Service Agreement. The Company will use reasonable efforts to meet SLAs but cannot guarantee resolution within a specific timeframe.

5.2 Ad‑hoc & Onsite Support

No SLAs apply unless explicitly agreed. Availability is subject to scheduling and engineer availability.

6. Fees & Payment

All fees are stated in GBP and exclusive of VAT unless otherwise stated.
Managed Services are billed monthly in advance.
Ad‑hoc and onsite work is billed upon completion.
Payment terms are 14 days unless otherwise agreed.
Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
The Company may suspend services for overdue invoices.

7. Client Obligations

The Client agrees to:

Provide timely access to systems, premises, and personnel
Maintain valid software licences
Ensure hardware is supported and fit for purpose
Follow reasonable instructions from the Company
Maintain backups unless the Company is contracted to do so

The Company is not responsible for failures caused by unsupported systems or third‑party providers.

8. Data Protection & Confidentiality
8.1 Data Protection

The Company acts as a Data Processor or Data Controller depending on the service. Both parties agree to comply with the UK GDPR and Data Protection Act 2018.

8.2 Confidentiality

All information shared between the parties is confidential and must not be disclosed without written consent, except where required by law.

9. Limitation of Liability

To the maximum extent permitted by law:

The Company is not liable for indirect, consequential, or financial losses including loss of profit, business interruption, or data loss.
Liability for any claim is limited to the total fees paid by the Client in the previous three months.
The Company is not liable for failures caused by third‑party services (Microsoft, ISPs, hardware vendors, etc.).
The Client is responsible for ensuring adequate backups unless contracted otherwise.

Nothing in this Agreement limits liability for death, personal injury, or fraud.

10. Third‑Party Services

The Company may use third‑party vendors (e.g., Microsoft, cloud providers). The Company is not responsible for outages, failures, or changes made by third‑party providers.

11. Termination

Either party may terminate Managed Services with 30 days’ written notice, unless otherwise stated. The Company may terminate immediately if:

The Client breaches the Agreement
The Client fails to pay invoices
The Client engages in abusive or unsafe behaviour

Upon termination:

All fees become immediately due
Access to systems may be revoked
Offboarding services may incur additional charges

12. Intellectual Property

All documentation, scripts, automation workflows, and configurations created by the Company remain the Company’s intellectual property unless explicitly transferred.

13. Force Majeure

The Company is not liable for delays or failures caused by events outside its control, including natural disasters, war, strikes, or major outages.

14. Governing Law

These Terms & Conditions are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.

15. Changes to Terms

The Company may update these Terms & Conditions at any time. Updated versions will be published on AutoProIT.com and SurreyTechnical.com.
